Compare and contrast the views of management and accountants regarding the changes required by the Sarbanes-Oxley Act on internal controls and how these changes have affected corporations, accounting firms, and investors.

The Sarbanes-Oxley Act is a federal law that was introduced by President George W. Bush in 2002 to increase stockholders’ trust in capital markets after several balance and accounting improprieties in the country between 2000 and 2002. The act had a wide-ranging effect on corporate practices since it changed disclosure and reporting requirements thereby eliminating several ambiguities that most firms would employ to exploit investors. It required public firms to build up audit committees, hold directors responsible for the factualness of financial records, and conduct internal control tests. In addition to changing the operations of public accounting companies, the Sarbanes-Oxley Act set harsher criminal penalties for securities fraud.
The Sarbanes-Oxley Act has elicited mixed views from managers and accountants given the financial, ethical, and legal implications involved. Most managers are concerned about the compliance costs which are prohibitively expensive for small companies. Public companies are required to pay for new IT systems and additional employee time to implement new internal control systems.
