North Atlantic designs and manufactures electronic equipment applicable in developing and testing systems functional on military/commercial aircraft, tanks, and ships. The company entered into an asset purchase agreement with Transmagnetics Inc. (TMI) as a related business in 1994. During the contract, Haber owned 1/3 of TMI as the head of sales, which is a position that allowed him to develop an extensive list of clients (Qin et al., 2017). Haber signed an employment contract with North Atlantic, which meant that he had to keep all North Atlantic’s information confidential (Prenkert et al., 2021). However, Haber left North Atlantic in 1997 and joined Apex, which worked in the same niche market as NA. While working in the new place, he contacted most of his clients, convincing them to join him at Apex.
