Law refers to the set of rules which guide conduct in the society and is enforceable by the state via public agencies. The following has been discussed in line with the law: whether Jay is liable for his misdeeds, what to do to start a corporation and boilerplate provisions, par value, and election of directors to the board.
Question 1:
An investigation is appropriate for necessary steps to be taken to identify misconduct. According to the law, misdeeds are behavior on the part of a worker that can deteriorate the relationship between employee and employer. In this case, Jay is liable because he lied that he works for a money management company, and in the real sense, he does not; he presents himself as an agent of the company without authority from the principal (Croner-i, 2020).
Question 2:
In forming a corporation, one has to choose a unique business name, register with the relevant authority, appoint directors, and file articles of incorporation. In start-ups, there are boilerplate provisions commonly considered as standard non- negotiation clauses.
